Terms of Service

The terms on which Daobook is provided to clinics in the United States.

Last updated 5 November 2026

Effective November 5, 2026.

These Terms of Service are the agreement between you and Emba Digital Pty Ltd (ACN 683 319 486) of 14 Christmas Street, Northcote VIC 3070, Australia ("Daobook", "we", "us") for use of Daobook in the United States. By creating an account or otherwise using Daobook you agree to these terms. If you do not agree, please do not use the service.

1. About us

Daobook is built and operated by Emba Digital Pty Ltd, a company registered in Victoria, Australia, and based in Melbourne. The Daobook service for the United States runs on its own servers in the United States, separate from the Australian service. Contact: support@daobook.health.

2. The service

Daobook is a practice-management platform for licensed acupuncturists and Chinese medicine practitioners and their clinics. It includes client and clinical records, intake forms and consent, appointment scheduling with text and email reminders, herbal prescriptions and formulas, label and prescription printing, a herbal dispensary inventory, invoicing with online payments through Stripe, and an optional AI Scribe. Features change over time; the ones available to your account are those shown in the app.

3. Your account and sign-in

You need an account to use Daobook. You agree to give accurate registration details, including your name and, where Daobook shows it against clinical records, your license, and to keep them up to date. Two-step sign-in is required for every login to a US clinic. You are responsible for keeping your credentials secure and for everything done under your account.

If you suspect your account has been accessed without authorization, contact us straight away. We are not liable for losses caused by credentials that are shared, reused, or otherwise compromised through no fault of ours.

4. The Business Associate Agreement

When your clinic signs up, the person signing up accepts Daobook's Business Associate Agreement and its state addenda on the clinic's behalf. The Business Associate Agreement forms part of these terms. If it conflicts with these terms on the handling of protected health information, the Business Associate Agreement governs. The services that handle your clients' information for us, and the notice we give before adding one, are listed on our Trust page at daobook.health/trust.

5. Where your data is kept

Your clinic's records, including backups, are stored only in the United States. Two exceptions are stated in the Business Associate Agreement: Daobook's support staff may view your account from Australia when helping you, and emails you send to our support and privacy mailboxes are held by our email provider in Australia.

6. Communications

By holding a Daobook account you agree to receive operational messages from us: service notices, billing emails, security alerts and replies to your support requests. We may also send product news; you can opt out of it at any time with the unsubscribe link.

7. Acceptable use

When you use Daobook you agree to:

  • comply with the laws that apply to your practice, including HIPAA, your state's privacy and health-records laws, and the rules of the board that licenses you;
  • obtain the consents and authorizations you need before entering your clients' information into Daobook and before sending them messages through it, including consent to be texted where the law requires it;
  • use Daobook only for legitimate practice-management purposes;
  • not attempt to disrupt the service, gain unauthorized access, scrape it at scale, or interfere with another clinic's data.

Daobook stops texting a client who replies STOP. We aim to keep Daobook available at all times but cannot guarantee uninterrupted service. Planned maintenance is announced in advance where practical.

8. Subscription, fees and trial

  • New accounts get a 14-day free trial. After the trial, continued use requires a paid subscription.
  • Daobook is billed monthly in advance, in US dollars, through Stripe. We do not store full card numbers.
  • There is one plan, priced by the number of practitioners, as shown on our pricing page. Receptionists, administrators and bookkeepers are free.
  • Sales tax is added where your state taxes the service.
  • Text messages about bookings (reminders, confirmations, reschedules, cancellations and replies) are included. Other texts, such as bulk messages, and the AI Scribe are charged to your Daobook wallet at the rates shown in the app, which you top up as needed.
  • Your clinic's registration with the US mobile carriers starts when your first paid month begins, not during the trial. Approval can take a few weeks, and text messaging starts once it is approved.
  • If you change plan mid-cycle, billing is adjusted from the change.
  • We may change pricing on at least 30 days' notice. Continuing to use Daobook after a change takes effect means you accept the new pricing.

9. Cancellation, retention and termination

You can cancel your subscription at any time from your account settings. Fees already paid are not refunded, except where the law requires.

After cancellation your account moves through a retention lifecycle:

  • Read-only period: your account stays available read-only for 30 days so you can export records and finish up.
  • Retention period: your data is then held until about three months after cancellation, so you can reactivate. A paid retention option keeps your records available read-only for longer without a subscription.
  • Deletion: when the retention period ends, your data is deleted from our live systems, and from backups as the Business Associate Agreement describes.

We strongly recommend exporting any data you wish to keep before cancellation. Once data has been deleted we cannot restore it.

We may suspend or terminate an account that breaches these terms, is used unlawfully, or has unpaid charges after reasonable reminders. A suspended account can usually be reactivated by clearing outstanding charges or correcting the breach.

10. Your content

The records you enter into Daobook, such as clients, clinical notes, prescriptions and invoices, are yours. You grant Emba Digital a non-exclusive license to host, store, process, transmit, back up and display that content for the sole purpose of providing Daobook to you. We do not use your clients' information for marketing, profiling, sale, or training or evaluating AI models.

You are responsible for having the right to enter that information into Daobook, including any consent or authorization the law requires.

11. Healthcare responsibility

Daobook is a practice-management tool, not a clinical decision-support system, and not a substitute for your professional judgment. As the licensed practitioner, you remain responsible for clinical decisions, prescribing, record-keeping, consent and regulatory compliance. Where you use the AI Scribe, you review and are responsible for every note before it is final.

12. Intellectual property

The Daobook platform, including its software, design, branding, written content and tutorials (but not your data or your clinic's content), is owned by Emba Digital and protected by copyright and other intellectual-property laws. You may not copy, reverse engineer, modify, redistribute or build derivative works from Daobook without our written permission. We make no claim of ownership over the records you create in Daobook.

13. Privacy

How Daobook handles the personal information of practitioners, website visitors and other users is described in our Privacy Notice. Your clients' health information is handled under the Business Associate Agreement. Your clinic's own Notice of Privacy Practices is yours to provide.

14. Warranties and liability

Daobook is provided "as is" and "as available" to the maximum extent the law allows. In particular:

  • we do not warrant that the service will be uninterrupted, error-free, or fit for a purpose beyond what these terms describe;
  • we are not responsible for outages or failures caused by your internet connection, your devices, or a third-party service outside our control;
  • in the event of data loss, our obligation is to use reasonable efforts to restore your data from the most recent available backup.

To the maximum extent the law allows, our total liability to you for any claim arising out of or in connection with these terms or your use of Daobook is limited to the fees you paid us in the twelve months before the event giving rise to the claim. This limit applies to claims under the Business Associate Agreement too. Nothing in these terms limits a liability that cannot lawfully be limited.

15. Changes to these terms

We may update these terms from time to time. Material changes will be notified in the Daobook app or by email, with reasonable advance notice. Continuing to use Daobook after a change takes effect means you accept the updated terms; if you do not accept them, cancel your subscription before they take effect.

16. Governing law and disputes

These terms are governed by the laws of Victoria, Australia, and you and Emba Digital each submit to the non-exclusive jurisdiction of its courts. The Business Associate Agreement is governed by the law it names, which is the law of your clinic's state. Any dispute will be resolved in court, not by arbitration.
